FGRS Governance

This document defines the legal authority, ethical framework, enforcement mechanisms, and corporate governance of the Four Golden Rings Syndicate.

Chapter I By Law

The Four Golden Rings Syndicate Limited (“the Syndicate”) is a for-profit entity incorporated under the Companies and Allied Matters Act (CAMA) 2020 of the Federal Republic of Nigeria.

Mandate

  • Operate within full legal and regulatory compliance

The Syndicate exists to build a disciplined, transparent, and enforceable ecosystem for member prosperity.

Chapter II Governance Structure

Supreme Council

The Supreme Council represents the highest authority of the Syndicate and consists of all shareholders. It defines strategic direction and appoints executive leadership.

Executive Council

The Executive Council executes policy, operations, and management under the mandate of the Supreme Council and reports annually.

Chapter III Codes of Conduct

Integrity, discipline, and loyalty define conduct within the Syndicate.

Chapter IV Whistleblower Protection

The Syndicate guarantees confidentiality and non-retaliation for good-faith reports of misconduct.

Reports are handled discreetly and reviewd under SJSA.
